Terms of Service
Please read these Terms of Service carefully before using our platform. These terms govern your access to and use of Novacorp's services and constitute a legally binding agreement between you and Novacorp.
1. Acceptance of Terms
By accessing or using Novacorp's platform, services, or websites (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services. These Terms apply to all visitors, users, and others who access or use the Services.
2. Description of Services
Novacorp provides a SaaS development platform that enables teams to build, deploy, and scale software products. The Services include but are not limited to cloud infrastructure management, API services, development tooling, and related software. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time.
3. Account Registration
To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify Novacorp immediately of any unauthorized use of your account.
4. Acceptable Use
You agree not to use the Services for any unlawful purpose or in any manner that could damage, disable, overburden, or impair the Services. Prohibited activities include but are not limited to: attempting to gain unauthorized access to any portion of the Services, transmitting any harmful or disruptive code, using the Services to violate any applicable laws or regulations, and reproducing, duplicating, or reselling any part of the Services without express written permission from Novacorp.
5. Intellectual Property
The Services and all content, features, and functionality thereof, including but not limited to text, graphics, logos, icons, images, and software, are the exclusive property of Novacorp and its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Services or its content except as expressly set forth herein.
6. User Content
You retain ownership of any content you submit, upload, or transmit through the Services ("User Content"). By submitting User Content, you grant Novacorp a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and distribute such content solely for the purpose of providing and improving the Services. You represent and warrant that you have all rights necessary to grant this license.
7. Payment and Billing
Certain Services are available on a subscription or pay-per-use basis. By providing payment information, you authorize Novacorp to charge the applicable fees to your payment method. All fees are non-refundable except as expressly provided in these Terms or required by applicable law. Novacorp reserves the right to change pricing with at least 30 days notice.
8. Privacy
Your use of the Services is governed by our Privacy Policy, which is incorporated by reference into these Terms. Please review the Privacy Policy carefully. By using the Services, you consent to the collection and use of information as described therein.
9. Termination
Novacorp reserves the right to suspend or terminate your access to the Services at any time and for any reason, including but not limited to violation of these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NOVACORP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NOVACORP, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF NOVACORP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Novacorp is incorporated, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in that jurisdiction.
13. Changes to Terms
Novacorp reserves the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last Updated" date at the top of this page and, where appropriate, notifying you by email. Your continued use of the Services after any changes constitutes your acceptance of the new Terms.
